A fossil is defined as "any remains, impression, or trace of a living thing of a former geologic age, as a skeleton, footprint, etc."

Basically, something dies, and over time the parts decay and turn to stone. They seem to form more in watery areas, where to body will be covered in sediment which protects it from the elements.
